This agreement is between cleand, a trading name of [FILL: legal entity name], a company registered in England and Wales (company number [FILL: company number]), registered office [FILL: registered address] ("cleand", "we", "us"), and the cleaning business that registers on the cleand partner portal (the "Partner", "you").

It applies from when you [DECIDE: tick "I agree to the partner agreement" when you submit your application for review] and continues until it ends under section 16.

1. Definitions

  • Customer: a person who books a clean through cleand.
  • Job: one booked clean, with its date, arrival window, service, home size, extras and address.
  • Job board: the list of Jobs in the partner portal that approved partners covering the area can accept.
  • Offer: the amount cleand will pay for a Job, shown on the job board. It includes any VAT you owe.
  • Payout: the Offer at the moment you accepted the Job (or the amount agreed when cleand assigns a Job to you directly).
  • Worker: anyone you send to carry out a Job, whether your employee, a subcontractor or yourself.
  • Portal: the cleand partner portal, including the job board, My jobs, Team and Money pages.
  • Service schedule: the description of each service in cleand's customer terms (section 7), as updated from time to time.

2. How cleand works, and your status

2.1 Customers book and pay cleand. cleand sets the price and guarantees the booking to the Customer. cleand then offers the Job to approved partners, and subcontracts it to the partner that accepts it.

2.2 You are an independent business. You are not cleand's employee, worker, agent or partner in law. You decide how to run your business, whether to accept any Job, and which of your Workers to send. You can work for other platforms and your own customers (subject to section 11).

2.3 Your Workers are yours. You are solely responsible for them, including: their employment or engagement status; paying them at least the National Minimum Wage or National Living Wage, including for travel time between jobs where the law requires; holiday pay; income tax and National Insurance (PAYE); pensions auto-enrolment; sick pay; and right-to-work checks. Nothing in this agreement makes a Worker an employee or worker of cleand.

2.4 You are responsible for your own tax, including VAT if you are or should be VAT-registered.

3. Joining and approval

3.1 You can join if you are [DECIDE: a limited company, a partnership or a sole trader; open sign-up currently lets "any cleaning company" register] carrying on a cleaning business in the UK.

3.2 To apply, you give us in the Portal: company details, phone number, the areas you cover, bank details for payouts, and these documents:

  • Public liability insurance certificate, with its expiry date, covering cleaning in customers' homes, with a limit of at least [DECIDE: £1 million / £2 million / £5 million] per claim.
  • Background check evidence: a basic DBS certificate [DECIDE: or your written confirmation that you have seen one, plus a sample] for every Worker who will clean, [DECIDE: issued within the last 12 months].
  • Optionally, your company registration (Companies House number or certificate).

3.3 You must also hold, and show us on request:

  • Employers' liability insurance if you employ anyone (at least £5 million; required by law). [DECIDE: make this a mandatory upload; the Portal doesn't ask for it today.]
  • [DECIDE: Care, custody and control / key-holding cover for customers' property and keys, if Workers will hold keys.]

3.4 We review applications by hand and decide whether to approve you at our discretion. If we reject you, we will tell you why. You can fix the problem and resubmit.

3.5 Until you are approved, you can only complete your application: you can't see Jobs or invite Workers. Once you have submitted, company details and background-check evidence can't be changed without us, so that what we approved is what stays on file. You can always upload a renewed insurance certificate.

3.6 Everything you tell us must be true, complete and kept up to date. Tell us straight away if anything changes, including insurance, a Worker's background check, or your business ownership.

4. Vetting your Workers

4.1 Before a Worker attends any Job, you must:

  • check their right to work in the UK as the Immigration, Asylum and Nationality Act 2006 requires, and keep the records;
  • obtain a basic DBS check for them, and decide whether they are suitable to work unsupervised in people's homes. [DECIDE: what cleand will accept where a check discloses a conviction. You must follow the Rehabilitation of Offenders Act 1974: spent convictions can't be held against a person.]
  • check their identity, and [DECIDE: take up at least one reference];
  • give them the training and information they need to work safely and to the Service schedule.

4.2 You must only send Workers who meet section 4.1, and who are named in your Team in the Portal [DECIDE: require every Worker to have a Portal account, or allow the manager to assign a job to a Worker who isn't on the Portal].

4.3 We may ask for evidence that you have done these checks for any Worker. [DECIDE: a yearly audit of a sample.]

4.4 Your Workers' personal data. If you upload a Worker's background check or any other information about them, you must first tell them what you are sharing and why (you can give them cleand's privacy notice) and have a lawful basis to share it.

5. Taking Jobs

5.1 The job board. Jobs are posted to approved partners whose coverage areas include the Job's postcode district. We email you when a Job is posted in your area. Before you accept, you see the postcode district, date, arrival window, service, home size, extras and the current Offer. You never see what the Customer paid.

5.2 The rising Offer. Each Job's Offer starts low and rises in steps over time until someone accepts it. The Portal shows a countdown to the next rise. The Offer is calculated by cleand's systems at the moment you accept; that figure is your Payout. The Offer never goes down. We may change how Offers are set (the opening level, the steps and the ceiling) at any time for new Jobs.

5.3 Accepting a Job is a binding commitment to carry it out at the Payout, on the date and in the arrival window shown. Only one partner can accept a Job; the first to accept gets it.

5.4 Direct assignment. We may offer a Job to you directly, at a Payout we tell you. [DECIDE: the software lets cleand assign a Job to a partner without that partner accepting in the Portal; this draft requires your agreement (by phone, email or in the Portal) before a direct assignment binds you.]

5.5 After you accept, you see the Customer's name, phone number, full address, access instructions, parking, pets and notes. Use them only to carry out that Job (see section 13).

5.6 Assigning a Worker. Your owner or admins assign each accepted Job to a Worker in the Portal. Workers see only the Jobs assigned to them, never amounts.

6. Doing the work

6.1 You must carry out each Job:

  • with reasonable care and skill, to at least the standard in the Service schedule;
  • arriving within the arrival window (morning 8am to 12pm; afternoon 12pm to 5pm);
  • using [DECIDE: your own cleaning products and equipment, suitable for domestic use and stored and used under the Control of Substances Hazardous to Health Regulations 2002];
  • in line with the Customer's reasonable instructions within the booked service;
  • safely, with your own risk assessments, and in line with health and safety law.

6.2 Conduct in Customers' homes. Workers must be courteous and honest; must not smoke, vape, drink alcohol or use drugs at the property; must not bring anyone else; must not use the Customer's belongings, phone or wifi without permission; must not take photos except of the work (to show the result or a problem), and never of people or personal documents; and must respect the Customer's privacy. They must report any accident, damage, breakage or safeguarding concern to you straight away, and you must tell us within [DECIDE: 24 hours].

6.3 Safety. A Worker may refuse any task they consider unsafe, and may leave if threatened or abused. Tell us straight away.

6.4 Can't get in. If a Worker can't get in, they must try to contact the Customer and wait at least [DECIDE: 30 minutes] from arrival (within the window), then tell us. [DECIDE: what you are paid for a no-access visit; the software pays nothing today.]

6.5 Marking complete. Mark each Job complete in the Portal once it is finished (you can do so from its start time). That records your Payout on your ledger.

6.6 No subcontracting of a Job to another business without our written agreement.

7. If you can't do a Job (backing out)

7.1 If you can't carry out an accepted Job, release it in the Portal as early as possible. It goes back on the job board and we are alerted.

7.2 A back-out fee is deducted from your next payout, as a share of the Payout, depending on how long before the start of the arrival window you release the Job:

7.3 These fees are a fair estimate of the cost and harm a late release causes cleand: the Offer must usually rise to fill the Job again, cleand's staff must step in, and cleand's guarantee to the Customer is put at risk. [DECIDE: whether to waive the fee for documented emergencies (illness, bereavement, accident), at cleand's discretion.]

8. No-shows and late arrivals

8.1 No-show. If your Worker doesn't attend an accepted Job (and you didn't release it), we will cancel the Job and refund or rebook the Customer. You won't be paid for the Job (and if you marked it complete, the credit is reversed), and we will deduct:

  • a no-show fee of [DECIDE: 100%] of the Payout; and
  • any extra amount cleand has to pay another partner to carry out the Customer's rebooked clean above your Payout (the "rescue cost").

8.2 Late arrival. If a Customer reports that your Worker arrived more than 30 minutes after the start of the arrival window, and we uphold the report after asking you for your account, we will deduct a late fee of [DECIDE: £10], once per Job.

8.3 Your side of the story. Before we record a no-show or late fee, we will ask you for your account [DECIDE: and give you 48 hours to reply]. You can dispute any fee under section 10.5.

9. Customer complaints, damage and re-cleans

9.1 Customers report problems to cleand (from the start of the clean until 30 days after). We will tell you about any report about your Job and ask for your account. You must reply within [DECIDE: 48 hours] and cooperate with our investigation.

9.2 Re-cleans. If we decide that a Job wasn't carried out with reasonable care and skill, you must [DECIDE: send a Worker back to re-clean the affected areas within 2 working days at no charge; or, if a re-clean isn't possible or the Customer refuses one, accept a deduction equal to the refund cleand gives the Customer, up to the Payout]. [DECIDE: the same for any end of tenancy re-clean guarantee cleand offers Customers.]

9.3 Damage and loss. You are responsible for loss or damage your Workers cause to a Customer's property, and for any theft or dishonesty by them. You must notify your insurer promptly, deal with the claim fairly and quickly, and keep us informed. If cleand pays a Customer for loss or damage your Worker caused, you must repay cleand (which we may deduct under section 10.4).

9.4 Indemnity. You will reimburse cleand for claims, losses and reasonable costs (including legal costs) that arise from your breach of this agreement, the negligence or wilful acts of your Workers, or any claim by your Workers about their pay or status.

10. Payouts, statements and fees

10.1 Payout. For each Job you complete, cleand pays you the Payout. The Payout includes any VAT you must charge: cleand won't add VAT on top. You never see, and aren't entitled to any share of, what the Customer paid.

10.2 Your ledger. Your ledger in the Portal shows credits (a completed Job's Payout, recorded when you mark it complete) and deductions (fees, rescue costs, reversals and adjustments, each with a reason). You and cleand see the same figures.

10.3 Monthly statements. On the 1st of each month we issue a statement for the previous month (London time): the net amount is the credits less the deductions, less any negative balance carried from your previous statement. We email you when it is ready. We pay a positive net amount by bank transfer to the account in your Portal within [DECIDE: 14 days] of the statement. If the net is negative, it is carried to the next statement [DECIDE: and if it is still negative 3 months later, or when the agreement ends, you must pay it to cleand within 30 days].

10.4 Set-off. We may deduct any amount you owe cleand under this agreement from any amount we owe you. We never charge fees to your card.

10.5 Disputes. If you think a statement, fee or deduction is wrong, tell us within [DECIDE: 30 days] of the statement, with your reasons. We will look again and reply within [DECIDE: 14 days]. Undisputed amounts are paid as normal.

10.6 Invoices and VAT. [DECIDE: with the accountant, either (a) self-billing: cleand's monthly statement is the VAT invoice for your services, under a self-billing agreement that meets HMRC's rules (you agree not to issue your own invoices and to tell us if your VAT registration changes); or (b) you send cleand a valid invoice matching each statement before it is paid.] You must give us your VAT number if you are registered.

10.7 Customer cancellations. If a Customer cancels a Job you have accepted, the Job is removed from My jobs and no Payout or fee is due. [DECIDE: current rule: you get nothing even when the Customer cancels within 24 hours and cleand keeps the Customer's payment. Consider paying a share (e.g. 50% of the Payout) for cancellations within 24 hours, which is fairer and helps justify cleand's late-cancellation charge to the Customer.]

10.8 Tax reporting. You must give us any information we need to meet our tax duties, including under the UK's reporting rules for digital platforms if they apply to cleand [DECIDE: with the accountant], such as your legal name, address, company or tax reference and VAT number.

10.9 Changes to fees. We will give you at least [DECIDE: 30 days'] notice by email of any change to the fees in sections 7 and 8. The fee that applies is the one in force when the event happens.

11. Customers introduced by cleand

11.1 Customers are cleand's customers. [DECIDE: For the duration of this agreement and for 12 months after a Customer's last Job with you, you must not (and must make sure your Workers don't) solicit or accept work directly from that Customer, other than through cleand, or encourage them to stop booking through cleand. If you do, you must pay cleand (a fee equal to X% of the first year's likely bookings, or a fixed £X) as a fair estimate of cleand's lost income.]

11.2 You must not give Customers your own marketing materials or ask for their contact details for your own use, and must not ask Customers for tips or payments.

12. Brand and reputation

You may say you are "a cleand partner" while this agreement lasts. You must not use cleand's name or logo otherwise without our permission, or do anything likely to harm cleand's reputation. Workers [DECIDE: must/may] wear your own uniform or ID; they must not present themselves as cleand employees.

13. Data protection

13.1 Each of us must comply with UK data protection law (the UK GDPR and the Data Protection Act

  1. and, where relevant, the Privacy and Electronic Communications Regulations.

13.2 Customer data. [DECIDE: Option A (this draft's assumption): independent controllers. cleand shares Customer data with you so you can carry out a Job you accepted; you then decide how your business and Workers use it for that purpose, and you are its controller for that use. Option B: processor. You process Customer data only on cleand's instructions, and the Article 28 terms in the schedule below apply.] Under either option you must:

  • use Customer data only to carry out the Job (and to deal with any complaint or claim about it);
  • share it only with the Worker carrying out the Job;
  • keep it secure (for example, no sharing in group chats, no writing access codes on paper left unattended), and never use it for marketing;
  • delete it within [DECIDE: 30 days] after the Job, unless you need it for a complaint, claim or legal duty;
  • tell us within 24 hours if it is lost, stolen or accessed without permission;
  • help us answer any request from a Customer about their data.

13.3 Your data and your Workers' data. cleand is the controller of the information you and your Workers give us, as its privacy notice explains. You must make sure your Workers have seen that notice (section 4.4).

13.4 Criminal offence data. Background-check evidence is criminal offence data. cleand processes it under its appropriate policy document. Upload only what we ask for, and nothing more.

14. Insurance

14.1 You must keep the insurance in section 3 for as long as this agreement lasts and for [DECIDE: 2 years] after it ends (or buy run-off cover for claims made after it ends).

14.2 Upload each renewed insurance certificate in the Portal before the current one expires. We remind you 14 days before. If it expires, you are hidden from the job board until a new certificate is uploaded, and we may reassign any Job you hold.

14.3 Your insurance must not exclude cleaning in customers' homes or damage to customers' property. [DECIDE: whether cleand must be named as an additional insured or its interest noted.]

15. Liability

15.1 Nothing in this agreement limits either party's liability for death or personal injury caused by negligence, for fraud, or for anything else that can't lawfully be limited.

15.2 Subject to 15.1, neither party is liable for loss of profit, loss of business or indirect loss.

15.3 Subject to 15.1, cleand's total liability to you under this agreement in any 12 months is limited to [DECIDE: the total Payouts due to you in that period, or £X]. This doesn't limit cleand's duty to pay the Payouts and statements due to you.

15.4 Your liability under sections 9.3 and 9.4 is [DECIDE: unlimited / limited to your insurance cover].

15.5 cleand doesn't promise you any minimum number of Jobs or any income.

16. Suspension and ending the agreement

16.1 You can leave at any time by giving us [DECIDE: 14 days'] notice by email. You must still carry out (or properly release, under section 7) any Jobs you have accepted.

16.2 We can end the agreement by giving you [DECIDE: 30 days'] notice by email, for any reason.

16.3 We can suspend you from the job board, or end the agreement straight away, if: you seriously or repeatedly break this agreement (including repeated no-shows or back-outs); your insurance lapses; we reasonably suspect dishonesty, theft, abuse or a risk to anyone's safety; a Worker attends who doesn't meet section 4; you give us false information; or you become insolvent. We will tell you the reason unless the law or a police investigation prevents it.

16.4 When the agreement ends: you lose access to the job board; Jobs you hold are completed or reassigned as we agree with you; we issue a final statement and pay any amount due (or you pay any negative balance); and sections 9, 10, 11, 13, 14, 15 and 17 continue. We keep and delete your information as our privacy notice explains: your documents and bank details are deleted 6 months after you leave (bank details once any unpaid statement is settled).

17. General

17.1 Changes. We may change this agreement by giving you at least [DECIDE: 30 days'] notice by email. If you don't agree, you can end the agreement before the change takes effect; accepting Jobs after that date means you accept the change. We may make changes needed by law or for safety straight away.

17.2 Modern slavery and bribery. You must comply with the Modern Slavery Act 2015 and the Bribery Act 2010, and make sure no forced, bonded or child labour is used in your business.

17.3 Confidentiality. Keep cleand's non-public information (including Offers, fees and Customer information) confidential.

17.4 Notices are given by email: to you at the owner's email in the Portal, and to us at [DECIDE: partners@cleand.uk / hello@cleand.uk].

17.5 Entire agreement. This agreement (with the Portal's rules shown to you when you use it) is the whole agreement between us about its subject.

17.6 Assignment. You may not transfer this agreement without our consent. We may transfer it to a buyer of our business.

17.7 Third parties. No one else has rights under this agreement, except that a Customer may rely on section 13.2.

17.8 Law and courts. This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
